These terms govern the inquiry-based financial planning consultations provided by APINode Business Planning Co., Ltd. (บริษัท APINode Business Planning จำกัด), Tax ID 0105868937283, office at 73/2, Mittraphap Road, Mueang Nakhon Ratchasima, Nakhon Ratchasima, 30000, Thailand. By submitting an inquiry or engaging us, you accept these terms.
The service we provide
We provide inquiry-based consultations on business succession and continuity — covering ownership transfer, the continuity of key people, arrangements between co-owners, and the working-capital position through a transition. Our work is planning advice and documentation. We do not provide legal, tax, or audit advice, and our plans are not a substitute for advice from a licensed lawyer or accountant where one is required.
No guaranteed outcomes
A succession plan depends on your business, the people involved, and the terms you choose. We do not guarantee a specific outcome, return, valuation, or timeline. We provide a structured process and plain-language documentation; the decisions remain yours.
How an engagement is agreed
An engagement begins with your inquiry and an initial conversation, which carries no charge. After that conversation we set out the scope and any fees in writing, and no paid work starts until you have agreed that scope in writing.
Fees
Prices are not published on this site, since the work involved in a succession plan varies with how your business is structured. We set out fees in writing after the initial conversation, and any agreed fee is payable on the terms in that written scope.
Your responsibilities
To plan a succession usefully, we need accurate information about your business. You agree to provide information that is, to the best of your knowledge, correct and complete, and to let us know when something material changes during an engagement.
Limitation of liability
To the extent permitted by Thai law, our liability for any engagement is limited to the fees paid for that engagement. We are not liable for decisions you make on the basis of a plan, or for the actions of third parties such as buyers, sellers, or other advisers.
Intellectual property
Plans and documentation we prepare for you are provided for your use in connection with your succession. They remain our work product unless otherwise agreed in writing in the scope.
Governing law
These terms and any engagement are governed by the laws of Thailand. Any dispute is subject to the jurisdiction of the courts of Thailand.
